Upon purchase, we grant you a limited, non-exclusive, non-transferable license to install and use our software for personal or business use on a single authorized machine ID. You may not copy, distribute, modify, decompile, reverse engineer, or resell our software without prior written consent.
2. Licensing and Activation
Each software build is tied to your unique NinjaTrader Machine ID. Sharing or using the software on unauthorized devices is strictly prohibited. We reserve the right to deactivate or suspend licenses in the event of misuse, fraud, or violation of these Terms.
3. Payments and Refunds
All payments are processed securely through trusted third-party processors such as Stripe and Square. Due to the nature of digital licensing, all sales are final. Refunds are not issued once a license has been delivered or activated, except where required by law.
4. Product Updates
We may periodically provide updates or patches to improve functionality, compatibility, or security. Updates may be automatic or require manual download. Continued use of the software after updates constitutes acceptance of the modified version.
5. User Responsibilities
You agree to use our software responsibly and in compliance with applicable laws and broker regulations. You are solely responsible for any trading decisions or outcomes that result from using our tools.
6. Non-Affiliation with NinjaTrader
Tier Lock Systems is an independent software provider and is not affiliated, associated, authorized, endorsed by, or in any way officially connected with NinjaTrader LLC or any of its subsidiaries or affiliates. The name “NinjaTrader” is used only to indicate platform compatibility. All trademarks remain the property of their respective owners.
7. Disclaimer of Warranties
Our software and website are provided on an “as-is” and “as-available” basis without warranties of any kind, express or implied. We do not guarantee uninterrupted operation, freedom from errors, or compatibility with all systems. Use of our software is at your own risk.
8. Limitation of Liability
Under no circumstances shall Tier Lock Systems, its developers, or affiliates be liable for any direct, indirect, incidental, or consequential damages, including but not limited to loss of data, trading losses, or interruption of business arising from the use or inability to use our software or website.
9. Termination
We reserve the right to suspend or terminate your license and access to our software at any time if you breach these Terms or misuse our services. Upon termination, you must immediately cease all use and delete all copies of our software.
